TokenZero Terms of Service
Effective: 2026-10-26
These terms are an agreement between you and TokenZero ("we") for use of the hosted TokenZero service (the "Service"): the LLM gateway, dashboard, ledger and hosted audits. The open-source TokenZero tools are licensed separately under Apache-2.0.
1. The Service
TokenZero is a pass-through gateway between your software and the LLM provider you choose. It applies cost-saving techniques (prompt-cache formatting, response caching, model routing advice and, if you opt in, automatic routing) and records signed receipts of what it did.
2. Your provider account and keys
- You use your own provider API key ("bring your own key"). Provider charges are billed by the provider to you, under your agreement with them. We never pay for or resell model usage.
- You are responsible for complying with your provider's terms, including their usage policies, and for the content you send.
- We forward your key only to make the request you asked for and do not store it.
3. Accounts and workspace keys
Keep your workspace key secret. Anyone with it can use your workspace. Rotate it if you think it has leaked. You are responsible for activity under your keys.
4. Acceptable use
Do not use the Service to: break the law or a provider's usage policy; attack, probe or overload the Service or others; get around rate limits or metering; resell the Service without our written agreement; or send data you are not allowed to send.
5. Savings estimates, routing and caching
- Estimates. Savings figures compare your actual cost with the provider's list price for the model you requested, using our published pricing table. They are estimates, not invoices. Provider prices and discounts can differ.
- Caching. A cached response is a previous response to an equivalent request. It is served instead of a new model call only when caching applies (see the Privacy Policy). You can disable caching. You are responsible for deciding whether cached answers are appropriate for your use.
- Routing. By default routing is advisory. If you turn on automatic routing, some requests may be served by a cheaper model than the one you named; the served model is always reported in the response headers and the ledger.
- Metering accuracy. Ledger rows are written in short batches; an abrupt server stop can lose a small window of rows. This can only under-count your usage.
6. Plans and fees
The Service is currently free. The free tier covers up to $500 per month of routed model spend, measured at list prices; above that the Service keeps working. The dashboard may show a fee preview: it is informational only and is not an invoice. We will not charge you without first publishing paid plans and getting your agreement to them.
7. Audits
Audit findings are static heuristics. They point at likely waste but can be wrong or incomplete. Hosted audits only read public repositories you name.
8. Availability and changes
We aim to keep the Service available but do not guarantee uptime during this period. We can change or stop features; we will give notice of material changes where we reasonably can. If the gateway cannot record a request, it still forwards it to your provider rather than failing your traffic.
9. Intellectual property
You keep all rights to your prompts, responses and code. You give us the permissions needed to process them as described in the Privacy Policy, and nothing more. We keep our rights in the Service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. MODEL OUTPUTS COME FROM YOUR PROVIDER, NOT FROM US.
11. Limitation of liability
TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.
12. Termination
You can stop using the Service at any time and ask us to delete your workspace. We can suspend or end access for breach of these terms or to protect the Service or others.
13. Governing law
These terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law rules; the state and federal courts located in Colorado have exclusive jurisdiction.
